Chen & Lin has extensive experiences in helping clients establish private equity/ venture capital (including government-supported funds, foreign private funds, domestic limited partnership/company funds and venture capital funds) in different form of organization, as well as the subsequent domestic and overseas investment and M&A deals for private equity/ venture capital funds. Our services in the area includes: establishment of domestic and overseas fund vehicles (whether they are limited partnership or companies), preparing agreements between GP and LP, management consulting agreements and other legal documents, facilitating domestic and overseas investment projects (including acquisition of common stock, preferred stock or other equity securities), due diligence for M&A deals, drafting and negotiating legal documents, and filing and obtaining relevant approval and permission.
